Bu gizlilik sözleşmesi (“Sözleşme”),
Di-Logic Branding Hub (“Danışman”) ile hizmet alan kişi veya kurum (“Müşteri”) arasında akdedilmiştir.
1. Amaç
İşbu sözleşmenin amacı, danışmanlık sürecinde taraflar arasında paylaşılan tüm bilgi, veri ve içeriklerin gizliliğini sağlamaktır.
2. Gizli Bilgi Tanımı
Gizli bilgi aşağıdakileri kapsar ancak bunlarla sınırlı değildir:
- Ticari bilgiler
- Marka stratejileri ve planlar
- İş modelleri ve operasyonel süreçler
- Teknik bilgiler ve dijital varlıklar
- Finansal veriler
- Proje ve ürün geliştirme süreçleri
- Tüm yazılı, sözlü ve dijital içerikler
3. Tarafların Yükümlülükleri
Taraflar:
- Gizli bilgileri üçüncü kişilerle paylaşmamayı
- Yalnızca danışmanlık süreci kapsamında kullanmayı
- Bilgileri korumak için gerekli tüm önlemleri almayı
kabul eder.
4. Danışmanlık Süreci Kapsamı
Danışman tarafından sunulan hizmetler;
- stratejik yönlendirme
- analiz
- öneri geliştirme
kapsamındadır.
Bu hizmetler, herhangi bir metodoloji, sistem veya modelin doğrudan devrini içermez.
5. Fikri Mülkiyet
Danışman tarafından sunulan hizmetler kapsamında kullanılan tüm stratejik yaklaşımlar, düşünce modelleri, çerçeveler ve metodolojiler Danışman’a aittir.
Bu metodolojiler danışmanlık hizmetinin bir parçası olarak doğrudan devredilmez, paylaşılmaz veya lisanslanmaz.
Müşteri, sunulan hizmetten faydalanabilir ancak bu kapsamda kullanılan sistemleri, metodolojileri veya modelleri kopyalayamaz, çoğaltamaz veya üçüncü taraflarla paylaşamaz.
6. Süre
Bu sözleşme, danışmanlık süreci boyunca ve sonrasında süresiz olarak geçerlidir.
7. İhlal Durumu
Gizlilik yükümlülüğünün ihlali durumunda, ihlalde bulunan taraf doğabilecek zararlardan sorumludur.
8. Müşteri Bilgilerinin Korunması
Danışman, müşteri tarafından paylaşılan tüm bilgi, proje, fikir, sistem, veri ve müşteri ilişkilerine ait içerikleri gizli tutmayı kabul eder.
Bu bilgiler:
- üçüncü kişilerle paylaşılmaz
- başka projelerde kullanılmaz
- doğrudan veya dolaylı olarak kopyalanmaz
Danışman, müşteri verilerini yalnızca ilgili danışmanlık süreci kapsamında kullanır ve bu kapsam dışında değerlendirmez.
Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement (“Agreement”) is entered into between
Di-Logic Branding Hub (“Consultant”) and the receiving party (“Client”).
1. Purpose
The purpose of this Agreement is to ensure the confidentiality of all information shared between the parties during the consulting process.
2. Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Business information
- Brand strategies and plans
- Business models and operational processes
- Technical data and digital assets
- Financial information
- Product and project development processes
- All written, verbal, and digital content
3. Obligations of the Parties
Both parties agree to:
- Not disclose confidential information to third parties
- Use the information solely for the consulting process
- Take all necessary measures to protect such information
4. Scope of Consulting Services
The services provided by the Consultant include:
- Strategic guidance
- Analysis
- Recommendations
These services do not include the transfer, licensing, or direct sharing of any methodology, system, or proprietary model.
5. Intellectual Property
All strategic approaches, thinking frameworks, models, and methodologies used by the Consultant remain the sole property of the Consultant.
Such methodologies are not transferred, disclosed, or licensed as part of the consulting services.
The Client may benefit from the consulting outcomes but may not copy, reproduce, or share the underlying systems, methodologies, or models with third parties.
6. Duration
This Agreement remains valid during and after the consulting process indefinitely.
7. Breach
In case of a breach of confidentiality, the breaching party shall be liable for any damages arising from such violation.
8. Protection of Client Information
The Consultant agrees to keep all information, ideas, systems, projects, data, and client relationships shared by the Client strictly confidential.
Such information:
- shall not be shared with third parties
- shall not be used in other projects
- shall not be copied directly or indirectly
The Consultant shall use such information solely within the scope of the consulting services.
